1. Introduction
These Terms of Service ("Terms") govern your use of the services, products, and website provided by Brevwork ("we," "us," "our"), a sole proprietorship operated in Ontario, Canada by Mike Heintzman.
By purchasing a product, engaging our services, or using our website, you agree to these Terms. If you do not agree, please do not use our services.
2. Services Description
Brevwork provides AI-powered professional services and digital products, including but not limited to:
- Services — Business automation, content and SEO strategy, technical writing, and other professional services as described in individual proposals or service listings.
- Digital products — Templates, prompt libraries, guides, and other downloadable resources sold through our website and third-party platforms (Payhip, Gumroad, Etsy).
All services are delivered using AI tools with human oversight. See our AI Disclosure for details on how AI is used in our work.
3. AI Disclosure
Brevwork is an AI-native business. Our services are delivered using AI tools, primarily Claude (developed by Anthropic). This means:
- AI is used to draft, analyze, and produce deliverables.
- All client-facing work is reviewed by a human (Mike Heintzman) before delivery.
- You may request additional human review at any time.
By engaging our services, you acknowledge and consent to the use of AI tools in the delivery of your work. For full details, see our AI Disclosure.
4. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. If you are purchasing on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
5. Accounts and Communication
When you engage our services, you agree to:
- Provide accurate and complete information.
- Respond to reasonable requests for clarification or materials in a timely manner.
- Maintain the confidentiality of any credentials or access we provide to you.
6. Payment Terms
Pricing
- Prices for services are provided in individual proposals or service listings.
- Prices for digital products are listed at the point of sale.
- All prices are in Canadian dollars (CAD) unless otherwise stated.
Payment Processing
- Payments are processed securely through Stripe or the relevant platform (Payhip, Gumroad, Etsy).
- For services, payment terms are specified in the project proposal (typically 50% upfront, 50% on completion, unless otherwise agreed).
- For digital products, full payment is required at the time of purchase.
Late Payments
- Invoices for services are due within 14 days of issuance unless otherwise specified.
- We reserve the right to pause work on projects with overdue invoices.
Taxes
Prices may not include applicable taxes. You are responsible for any taxes required by your jurisdiction.
7. Refund Policy
Digital Products — 30-Day Guarantee
If you are unsatisfied with a digital product, you may request a full refund within 30 days of purchase. To request a refund, email us at support@brevwork.ca with your order details.
Refunds will not be issued for:
- Products where substantial use is evident (e.g., completed templates submitted to third parties).
- Requests made more than 30 days after purchase.
Services — Satisfaction Guarantee
We are committed to your satisfaction. If you are not happy with a service deliverable:
- Revisions — We will revise the deliverable based on your feedback, at no additional cost, within the scope of the original project brief. We include up to two rounds of revisions in every project unless otherwise specified.
- Partial refund — If revisions do not resolve the issue, we will negotiate a fair partial refund reflecting the work completed.
- Full refund — If we have not begun substantive work on your project, you are entitled to a full refund.
Refunds for services are evaluated on a case-by-case basis and issued at our reasonable discretion.
8. Intellectual Property
Client Deliverables
- Upon full payment, you own all rights to the deliverables we create for you.
- We assign all intellectual property rights in the final deliverables to you.
- This includes text, documents, code, designs, and other materials produced specifically for your project.
Anonymized Case Studies
- We retain the right to describe the type of work performed in anonymized, generalized case studies for our portfolio and marketing.
- We will not reveal your name, business name, or confidential details without your written permission.
- If you prefer not to be referenced even anonymously, let us know and we will respect that.
Our Intellectual Property
- Brevwork retains ownership of our pre-existing tools, templates, processes, and methodologies.
- Our website content, branding, and digital products remain our intellectual property.
- Purchasing a digital product grants you a personal, non-transferable license to use it for your own purposes. You may not resell, redistribute, or share digital products.
Your Content
- You retain ownership of all materials you provide to us (briefs, brand assets, existing content, etc.).
- By providing materials, you grant us a limited license to use them solely for the purpose of delivering your project.
9. Confidentiality
- We treat all client information and project materials as confidential.
- We will not share your information with third parties except as necessary to deliver services (see our Privacy Policy).
- This confidentiality obligation survives termination of our engagement.
10. Acceptable Use
You agree not to use our services to:
- Create content that is illegal, defamatory, harassing, or that infringes on third-party rights.
- Misrepresent AI-generated content as human-created in contexts where such disclosure is legally required.
- Engage in fraud, spam, or any deceptive practices.
- Reverse-engineer our processes, templates, or methodologies for resale.
- Violate any applicable law or regulation.
We reserve the right to refuse or terminate service if we believe the work would violate these terms or our values.
11. Disclaimer
Not Professional Advice
Our services provide general business, content, and technical support. Unless explicitly stated otherwise, our deliverables do not constitute:
- Legal advice — We are not lawyers. Consult a qualified attorney for legal matters.
- Financial or tax advice — We are not accountants or financial advisors. Consult a qualified professional for financial decisions.
- Medical or health advice — Our content should not be used as a substitute for professional medical guidance.
You are responsible for reviewing all deliverables and ensuring they are appropriate for your specific situation and jurisdiction.
No Guarantees of Results
While we strive for high-quality work, we cannot guarantee specific business outcomes (revenue increases, search rankings, etc.) resulting from our services.
12. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from our services is limited to the amount you paid us for the specific service or product giving rise to the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the cause.
- We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to AI service outages, internet disruptions, or force majeure events.
These limitations apply whether the claim is based on contract, tort, negligence, or any other legal theory.
13. Indemnification
You agree to indemnify and hold harmless Brevwork and Mike Heintzman from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of our services or products.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Content or materials you provide to us that infringe on third-party intellectual property.
14. Termination
By You
You may terminate a service engagement at any time by providing written notice via email. If work has already begun:
- You will be invoiced for work completed up to the date of termination.
- Any upfront payments for undelivered work will be refunded proportionally.
By Us
We may terminate or suspend services if:
- You breach these Terms.
- Payment is overdue by more than 30 days.
- The project scope changes materially from what was originally agreed.
- We determine, in our reasonable judgment, that the work conflicts with our values or legal obligations.
We will provide written notice and a reasonable opportunity to resolve the issue before termination, except in cases of serious breach.
Effect of Termination
Upon termination:
- You will receive all completed deliverables (subject to full payment).
- Our confidentiality obligations continue.
- Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
16. Dispute Resolution
We believe most disputes can be resolved through good-faith communication. Before pursuing formal action:
- Contact us — Email support@brevwork.ca with a description of the issue.
- Negotiation — We will attempt to resolve the dispute through direct discussion within 30 days.
- Mediation — If negotiation fails, either party may propose mediation through a mutually agreed-upon mediator in Ontario, Canada. Costs will be shared equally.
- Legal action — If mediation fails or is declined, either party may pursue legal remedies in the courts of Ontario, Canada.
17. Changes to These Terms
We may update these Terms from time to time. When we do:
- We will update the "Last Updated" date at the top of this page.
- For significant changes, we will notify active clients via email at least 14 days before the changes take effect.
- Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, AI Disclosure, Cookie Policy, and any individual project proposals, constitute the entire agreement between you and Brevwork.
